Job Title: IP and Legal Counsel

Reporting to: Vice President and Legal Counsel

Role: We are
seeking anIP and Legal Counselwho will be responsible for
providing legal services and advice, with a focus on IP-related matters, for
the Houston business unit of Cell Medica.

Location: Houston, USA.

Duties & Responsibilities:

  • Draft and
    prosecute patent applications in biotechnology areas
  • Supervise
    outside counsel engaged in drafting and prosecuting patent applications
    and in post-grant challenges
  • Acquire
    detailed understanding of the technologies, products and R&D
    activities of the business
  • Counsel key
    technical and business personnel on IP portfolio development and
    strategies, adversarial proceedings, competitive IP and commercial
    activities, and licensing opportunities
  • Interact with
    colleagues in the US and Europe on a daily basis to provide IP and legal
  • Conduct, direct
    and analyze patent searches and render opinions on
    validity,non-infringement and patent avoidance of third-party
  • Provide
    patentability evaluation of IP related to internal or external projects
  • Review proposed
    research papers and other publications for any impact on existing patent
  • Monitor
    scientific and patent literature for patentability and strategic purposes
  • Assist in
    managing intellectual property due diligence to support business
    development transactions and company financings
  • Managing
    external relationships with outside patent and legal counsel,
    collaborators, and business partners
  • Lead or
    participate in the drafting, reviewing and negotiation of legal agreements
    covering intellectual property rights, including material transfer,
    professional services, research, collaboration, and license agreements,
    and manage external counsel with respect to the same
  • Provide general
    legal advice in relation to on-going collaborations with third parties
  • Provide ad hoc general
    legal support as required

Education and Experience

  • Graduate degree
    (MS, PhD (preferred)) in a biological or biochemistry science, preferably
    with practical laboratory experience
  • J.D. from an
    accredited law school
  • Registered
    patent attorney and member of at least one US state bar
  • Minimum 5 years
    of experience as a practicing patent attorney in the life sciences
    industry, especially in an in-house environment
  • Experience in
    handling biologics IP matters, especially cell therapies, bioprocesses,
    antibodies and antigen binding molecules (TCRs, chimeric antigen
    receptors). Knowledge of working on pre-clinical, clinical stage and
    commercialized programs
  • Experience
    drafting and reviewing IP related contracts
  • Experience
    providing legal support in areas other than IP


  • Ability to work
    in a team within an international professional network and interact with
    colleagues in other countries
  • A motivated
    self-starting person exhibiting initiative to contribute to the team in
    more ways than mere handling of assigned projects
  • Ability to work
    across functions – excellent interpersonal and communication skills, both
    written and verbal. Capable of quickly establishing credibility
  • Actively
    participate in regular development project team meetings and advise
    project team on IP issues
  • Ability to
    proactively identify issues, propose and implement solutions
  • Ability to
    effectively and constructively interact with a diverse group at all levels
    of the organization
  • Self-initiative
    and self-direction, ability to work independently in a small company
  • Willing to take
    on new challenges
  • Ability to
    manage and monitor outside counsel
  • Comfortable and
    experienced with standard office information technology
